Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MapleBull ("we," "our," or "us") governing your access to and use of the MapleBull mobile application and website (collectively, the "Services"). By creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not create an account or use the Services. You may use certain features (browsing prices, reading articles) without an account.

2. Description of Service

MapleBull is a price comparison and educational tool for Canadian precious metals investors. The Services provide: • Aggregated spot prices for gold, silver, platinum, palladium, and rhodium from multiple market sources. • Dealer price comparisons from publicly available Canadian bullion dealer websites. • Historical price charts and market data from recognized exchanges (COMEX, LBMA, Shanghai Gold Exchange). • Educational content about precious metals investing. • Watchlist and price alert functionality. • Community features (when available). The Services are informational tools and do not facilitate the purchase, sale, or trading of precious metals or any financial instruments.

3. Not Financial Advice

IMPORTANT DISCLAIMER: MapleBull is not a registered investment advisor, broker-dealer, financial analyst, or financial planner. The information provided through the Services, including but not limited to spot prices, dealer comparisons, premium calculations, historical charts, and educational articles, is for informational and educational purposes only. Nothing in the Services constitutes financial, investment, tax, or legal advice. You should not make any investment decisions based solely on information obtained through the Services. Always consult with a qualified financial advisor before making investment decisions. Past performance of precious metals is not indicative of future results. Investing in precious metals involves risk, including the risk of loss of principal.

4. User Accounts and Registration

Account Creation: To access personalized features (watchlist sync, alerts, community), you must create an account. During registration, you must: • Provide accurate, current, and complete information. • Accept these Terms of Service and our Privacy Policy. • Be at least 13 years of age, or the age of majority in your province of residence. Account Security: You are responsible for: • Maintaining the security and confidentiality of your login credentials. • All activities that occur under your account. • Notifying us immediately of any unauthorized use at [email protected]. Account Termination by You: You may delete your account at any time through the app (Account → Delete Account) or by contacting [email protected]. Upon deletion, all your data will be permanently removed as described in our Privacy Policy. Account Termination by Us: We reserve the right to suspend or terminate your account at our sole discretion if we reasonably believe you have violated these Terms.

5. Price Data Accuracy

While we strive to provide accurate and timely price data, all prices displayed in the Services are indicative and may not reflect real-time availability, actual transaction prices, or current market conditions. Price data is sourced from third-party providers and publicly available dealer websites, and we do not guarantee its accuracy, completeness, or timeliness. Dealer prices, premiums, and product availability are subject to change without notice. You should always verify prices directly with the dealer before making any purchase decision. We are not responsible for any losses, damages, or expenses arising from reliance on price data displayed in the Services.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to: • Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use. • Attempt to gain unauthorized access to the Services, its servers, or any connected systems or networks. • Use any automated means (bots, scrapers, spiders) to access the Services or collect data without our express written permission. • Reproduce, distribute, modify, or create derivative works of the Services or its content without our express written permission. • Use the Services to transmit any malicious code, viruses, or harmful content. • Reverse-engineer, decompile, or disassemble any portion of the Services. • Use the Services to engage in any activity that is fraudulent, deceptive, or misleading.

7. Electronic Communications (CASL)

In compliance with Canada's Anti-Spam Legislation (CASL), we only send commercial electronic messages (CEMs) with your express consent. By opting into notifications during account setup or in your notification preferences, you consent to receive: • Price alerts and market notifications you have configured. • Service-related communications (account updates, security alerts, Terms changes). Each CEM we send includes: • Our identity and contact information. • An unsubscribe mechanism that you can use at any time. We honour unsubscribe requests within 10 business days. Service-related communications (security alerts, Terms changes) are not considered CEMs under CASL and may be sent without separate consent.

8. Intellectual Property

The Services and their entire contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, data compilations, software, and the design, selection, and arrangement thereof — are owned by MapleBull or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. "MapleBull," the MapleBull logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MapleBull. You may not use such marks without our prior written permission. Market data, price information, and dealer listings displayed in the Services may be subject to third-party intellectual property rights and are used under license or fair dealing provisions.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY DATA, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. PRICE DATA, DEALER INFORMATION, AND MARKET ANALYSIS PROVIDED THROUGH THE SERVICES ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR MAKING FINANCIAL DECISIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAPLEBULL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (E) ANY INVESTMENT DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICES; OR (F) INACCURATE OR DELAYED PRICE DATA, DEALER INFORMATION, OR MARKET DATA. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless MapleBull and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered in accordance with the Arbitration Act, 1991 (Ontario), with the arbitration to take place in Toronto, Ontario. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Ontario, Canada. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Termination

By You: You may terminate your account at any time through: • The "Delete Account" option in your account settings. • Contacting us at [email protected]. Upon account deletion, your data is permanently removed as described in our Privacy Policy. By Us: We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Survival: All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes: • We will update the "Effective Date" at the top of these Terms. • We will notify you through the Services and, where the change materially affects your rights, by email. • Material changes take effect 30 days after notification. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services and delete your account.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

16. Entire Agreement

These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and MapleBull regarding the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
